ARTICLE I Management
Section 1: The government and management of the Association is entrusted to duly elected Association Officers. They shall have full power
and authority over the affairs of the Association except as otherwise provided in the Constitution and
By-Laws.
Section 2: In the case of a deadlock of a vote among those Officers, the President’s vote shall break said deadlock.
Section 3: Vacancies shall be filled as follows:
Vice-President shall assume the office of President, Secretary shall assume the office of Vice-President.
The remaining Officers shall make a temporary appointment should the office of Secretary or Treasurer
become vacant.
Section 4: Any officer may be removed from office for just cause by the membership with a majority of the total votes received.
Section 5: Upon consensus, the Officers may, at thier discretion, bring an issue before the membership at large for a vote.
ARTICLE II Fiscal Year
Secrtion 1: The fiscal year of the Fairfax County Sheriff’s Association shall commence on January one and shall end on December thirty one.
ARTICLE III Meetings
Section 1: The regular general meeting of the Association shall be held monthly. The time and place shall be posted
no less than seven days prior to said meeting.
Section 2: The Association President, or a majority of the Association Officers, shall have the power to call a
Special Association meeting or a Special Committee meeting at any time and the membership shall
be advised of the purpose of such special meeting at least three days in advance.
Section 3: Upon a written request of ten members in good standing, the Officers shall
call a special meeting of the Association, and the membership shall be advised of the purpose of such
meeting at least three days in advance..
Section 4: Aquorum shall consist of all members in good standing who are present at a regular meeting. To
constitute a quorum in any Association meeting fifty percent of the Officers must be present.
Section 5: A general meeting or Association event shall be held once a year, for the purposes of formally announcing the new Officers.
ARTICLE IV Nominations and Elections
Section 1: At the regular Association meeting in September the Officers shall appoint a Nominating
Committee composed of three members of the Association. This Committee shall report their
nominations of the Association officers to the President at the regular Association meeting in the
month of October.
Section 2: At the same regular meeting in October, additional nominations may also be made
by any Association member.
Section 3: In the case of more than one nomination for any elective office, a vote of the membership shall be conducted by secret ballot.
ARTICLE VI Duties of Officers
Section 1: Association President: The Association President shall be the executive head of the Association with full
power to enforce the Association’s Constitution and By-Laws. The President shall preside at all meetings
of the Association and the Executive Committee. The President must approve the
disbursement of Association funds . The President or his/her designee shall see
that all officers turn over to their successors all records, documents and property pertaining to the
Association. The President or his/her designee shall be the only officer authorized to speak to the media on behalf of the
Association.The President or his/her designee will make available, to members, an end-of –year report. Section 2: Association Vice-President: The Association Vice-President shall, in the absence of the President,
assume the duties of the Association President.
Section 3: Association Secretary: The Association Secretary shall keep and publish a record of the proceedings of all meetings. The Secretary shall be responsible for notifying the membership of all activities as may be directed by the
Officers.
Section 4: Association Treasurer: The Association Treasurer shall have charge of all finances of the Association. The Treasurer shall provide a Treasurer’s report at each monthly meeting. The Treasurer, with consensus of the Officers, will present, no later than the March meeting, an annual “sponsorship” budget to be voted on at the March meeting.The Treasurer shall submit all records to a Certified Public Accountant annually for an audit which will certify the completeness and accuracy of the accounts.”
ARTICLE VII Absentee Ballot
Section 1: Any member of the Association who cannot be present at a Special Association meeting may submit a ballot to
any officer or representative prior to the meeting on any matters subject to a vote. The absentee
ballot will be counted at that meeting.
Section 2: The absentee ballot will only be used for voting on a specific motion. Once the ballot is cast, it cannot
be used for voting on a subsequent motion. Each motion voted on requires a seperate absentee ballot.
Each absentee ballot must clearly state the motion for which the ballot is to be used.
Section 3: Active Association member is entitled to one vote.
ARTICLE VIII Appointments
Section 1: The Association Officers may appoint such committees as may be found to be
warranted.
ARTICLE IX Parliamentary Authority
Section 1: All business of the Association shall be conducted in accordance with “Roberts Rules of order ”
except as provided in the Constitution and By-Laws of this Association.
ARTICLE X Amendments
The By-Laws may be amended by a by the membership with a majority of the total votes received, The proposed amendment shall have been submitted in writing to all members
of the Association not less than thirty days prior to the vote.
These By-Laws are adopted and ratified this 22nd day of February 1991.
